Terms & Conditions of Sale and Website Use

These Terms & Conditions apply to the use of the Lord Wholesale Co website and to orders placed with Lord Wholesale Co.

Please read them carefully before placing an order.

By registering for a trade account, using our website or placing an order with us, you agree to these Terms & Conditions together with our Privacy Policy, Delivery information, Returns Policy and, where applicable, Worldwide Shipping terms.

Throughout these Terms & Conditions, “Lord Wholesale Co”, “we”, “us” and “our” refer to Lord Wholesale Co.

“You”, “your” and “customer” refer to the business, trader, organisation or other commercial customer purchasing goods from us or using our website.

2. Trade Customers Only

Lord Wholesale Co supplies goods exclusively to retail, trade and other business customers. We do not sell directly to consumers or the general public.

By registering for an account or placing an order, you confirm that you are purchasing goods wholly or mainly for the purposes of your trade, business, craft or profession and not as a consumer.

We reserve the right to refuse or cancel an account or order where we reasonably believe that the purchaser is not acting as a genuine trade or business customer.

3. Trade Account Registration

Customers must register for a trade account to view our full range, access trade prices and place orders online.

You are responsible for ensuring that the information provided when registering is accurate and kept up to date.

You are also responsible for maintaining the confidentiality and security of your account login details and for activity carried out using your account.

Please contact us promptly if you believe your account has been accessed without your permission.

4. Minimum Order

The minimum order value is £100.00, excluding VAT and delivery charges unless otherwise stated.

We reserve the right to change the minimum order value in the future. The applicable minimum will be displayed on our website.

5. Prices & VAT

All prices displayed on our website are trade prices and exclude VAT unless otherwise stated.

VAT will be added where applicable at the prevailing rate.

Delivery, carriage, customs charges, import duties and other applicable charges are additional unless expressly stated otherwise.

We take reasonable care to ensure prices are accurate. If we discover an obvious pricing or data error before an order is dispatched, we reserve the right to correct it and contact you where necessary.

6. Placing an Order

Orders can be placed through our website or by another method accepted by Lord Wholesale Co.

When you submit an online order, you will receive an order confirmation by email.

The automated order confirmation acknowledges that we have received your order. It does not necessarily mean that every item has been accepted or is available for supply.

All orders remain subject to stock availability, payment and our acceptance.

We reserve the right to decline an order where reasonably necessary, including in cases of stock unavailability, payment problems, suspected fraud, account issues, pricing errors or circumstances which prevent us from fulfilling the order.

7. Stock Availability & Shortages

All products are offered subject to availability.

Although we make every reasonable effort to maintain accurate stock information, stock levels can change and we cannot guarantee that every product shown on the website will be available when your order is picked.

Our warehouse team will pick and check your order before the final amount is processed.

If an item is unavailable, the order and payment amount will be adjusted accordingly.

You will only be charged for goods that we are able to supply, together with any applicable VAT and charges.

Unless agreed otherwise, unavailable products will not automatically be placed on back order.

8. Product Images, Colours & Packaging

We make reasonable efforts to ensure that product photographs, descriptions, colours and specifications shown on our website are accurate.

However, images are provided for illustration and identification purposes and there may be minor differences in colour, appearance, packaging, labelling or presentation.

Manufacturers may occasionally update packaging or make minor changes to products without prior notice.

Where products are supplied in assorted colours, patterns or designs, the assortment may vary unless a particular selection has expressly been agreed.

Nothing in this section permits us to supply goods that are materially different from the description under which they were sold.

9. Payment

We currently accept payment by:

  • Secure online card payment
  • Bank transfer
  • Cash for orders collected from our premises

Available payment methods will be shown during checkout or agreed directly with us.

Unless credit terms have expressly been agreed in writing, payment must be authorised or cleared before goods are dispatched or released for collection.

10. Online Card Payments

When payment is made by card through our secure payment system, the order value may initially be authorised and held by your bank or card provider while our warehouse team picks and checks your order.

If all goods are available, the appropriate final order value will be processed.

If there are stock shortages, the amount will be reduced before the final payment is taken so that you are charged only for goods we can supply, together with applicable VAT and charges.

The timing of release of any unused authorised funds is controlled by your bank or card provider and is outside Lord Wholesale Co’s direct control.

11. Bank Transfer

Where payment is made by bank transfer, goods will not normally be dispatched until cleared funds have been received.

Customers are responsible for ensuring that the full amount reaches Lord Wholesale Co.

For international transfers, any bank or intermediary charges must be paid by the customer unless otherwise agreed.

12. Credit Accounts & Late Payment

Where Lord Wholesale Co has expressly agreed credit terms with a customer, payment must be made within the agreed period.

We reserve the right to suspend or withdraw credit facilities where payments become overdue.

Where permitted by law, we may also claim interest and compensation on overdue commercial debts in accordance with applicable UK late-payment legislation.

Current UK law provides for statutory interest on qualifying late commercial payments at 8% above the Bank of England base rate, together with applicable fixed debt-recovery compensation.

13. Delivery

Delivery charges, dispatch information and available delivery services for mainland UK orders are described on our Delivery page.

Deliveries outside mainland UK may be subject to different rates and arrangements.

European and international orders are covered separately on our Worldwide Shipping page.

Delivery dates and times are estimates unless we expressly agree otherwise in writing.

While we will make reasonable efforts to dispatch orders promptly, delivery services may be affected by circumstances outside our reasonable control.

Customers must provide an accurate and complete delivery address and any information reasonably required to complete the delivery.

Additional costs resulting from incorrect delivery information, refused deliveries, failed delivery attempts or other circumstances caused by the customer may be charged to the customer where appropriate.

14. Checking Your Delivery & Reporting Shortages

Customers are responsible for checking deliveries promptly after receipt.

Any shortage or discrepancy in the quantity of goods delivered must be reported to Lord Wholesale Co within 48 hours of receipt.

If goods appear to have been damaged in transit, please contact us as soon as reasonably possible and retain the goods and packaging while the matter is investigated.

Faulty, damaged and incorrectly supplied goods are dealt with in accordance with our Returns Policy.

15. Returns

As Lord Wholesale Co operates exclusively on a B2B basis, customers do not have the consumer 14-day change-of-mind cancellation right that applies to qualifying consumer distance sales.

Returns, faulty goods, incorrect items, shortages, non-faulty returns, restocking charges and return carriage are governed by our Returns Policy.

Customers must contact us before returning goods.

16. Clearance & Sale Goods

Clearance, discontinued and sale goods are non-returnable unless faulty, damaged or incorrectly supplied, subject always to rights and remedies that cannot lawfully be excluded.

Where a clearance product is discounted because of a particular fault or condition which has been disclosed before purchase, that disclosed issue will not by itself provide grounds for a return.

17. Ownership of Goods

Unless otherwise agreed in writing, ownership (title) of goods remains with Lord Wholesale Co until we have received payment in full for those goods.

Where appropriate and permitted by law, Lord Wholesale Co reserves the right to recover goods for which payment remains outstanding.

18. Risk

Risk of loss or damage to goods will pass to the customer in accordance with the agreed delivery arrangements.

Where Lord Wholesale Co arranges delivery, risk will normally pass when the goods are delivered to the customer’s nominated delivery address.

Where the customer arranges collection, including through its own courier, freight forwarder or representative, risk will normally pass when the goods are handed over to the customer or its appointed carrier.

19. International Orders

International orders may be subject to customs procedures, import VAT, customs duties, brokerage charges, clearance fees and other local charges.

Unless expressly agreed otherwise in writing, the customer is responsible for complying with import requirements in the destination country and for applicable overseas taxes, duties and charges.

Qualifying exports may be zero-rated for UK VAT where the relevant HMRC requirements are satisfied and satisfactory evidence of export is obtained.

20. Force Majeure & Events Outside Our Control

Lord Wholesale Co will not be responsible for delay or failure to perform its obligations where this results from circumstances beyond our reasonable control.

Such circumstances may include, without limitation, severe weather, fire, flood, industrial disputes, transport disruption, carrier failure, border or customs delays, war, terrorism, civil disturbance, epidemic or pandemic, governmental action, power failures, telecommunications failures or disruption to suppliers.

Where such an event occurs, we will make reasonable efforts to minimise disruption.

21. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to applicable law, Lord Wholesale Co will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of revenue, loss of anticipated savings or loss of business opportunity arising from the supply of goods or use of our website.

Any limitation or exclusion of liability contained in these terms applies only to the extent that it is reasonable and legally enforceable.

22. Website Information

The content of this website is provided for general information and for facilitating trade orders.

We make reasonable efforts to keep information accurate and current but cannot guarantee that the website will always be error-free, complete or continuously available.

We may update products, prices, descriptions, website content or functionality from time to time.

23. Intellectual Property

Unless otherwise stated, the content of this website, including its design, text, graphics, photographs, product images, logos and other materials, is owned by or licensed to Lord Wholesale Co or used with appropriate permission.

Content must not be copied, reproduced, republished, distributed or commercially exploited without our prior written permission, except where permitted by law.

Third-party trademarks, brand names and intellectual property remain the property of their respective owners.

24. Acceptable Use of Our Website

You must not misuse our website or knowingly introduce viruses, malicious code or other harmful material.

Personal information is handled in accordance with our Privacy Policy.

We do not sell customer personal information to third parties.

Information may nevertheless need to be processed by service providers acting on our behalf where necessary to operate our website, process payments, fulfil orders, arrange deliveries, provide services or comply with legal obligations, as explained in our Privacy Policy.

27. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our business, website, services or applicable law.

The version published on our website at the time an order is placed will normally apply to that order unless otherwise agreed.

28. Severability

If any provision of these Terms & Conditions is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

29. Waiver

If Lord Wholesale Co does not immediately enforce a right under these Terms & Conditions, this does not mean that we have waived that right.

30. Governing Law & Jurisdiction

These Terms & Conditions and any dispute or claim arising from them, the use of our website or the supply of goods shall be governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction in relation to any such dispute or claim, subject to any mandatory legal requirements that apply.
